Terms & Conditions of Membership

By becoming a member of Prosper Australia Incorporated, you acknowledge and agree to be bound by the Constitution of Prosper Australia, and the following Terms and Conditions:

1. Governing Law:
1.1 Prosper Australia is a body duly authorised to trade under Section 51 of the Association Incorporations Act 1981, Victoria, Australia.

2. Membership Eligibility:
2.1 Membership in Prosper Australia is open to individuals and organisations who share our values and objectives. Our constitutional objective is to further public knowledge of the economic principles of Henry George.
2.2 Members must be formally accepted at a meeting of the Executive Committee.

3. Membership Application:
3.1 To apply for membership, you must complete the membership form on our website or by contacting our team by phone or email.
3.2 You are required to provide accurate and complete information when applying for membership.
3.3 The Executive Committee will consider your application at its next meeting, and reserve the right to accept or reject any membership application at our discretion.
If your application for membership is rejected, you will be immediately notified at the email address provided in your application.

4. Membership Dues:
4.1 Membership in Prosper Australia is subject to the payment of annual dues of $30 for individuals and organisations, or $15 for additional members from a single household.
4.2 Members are responsible for the timely payment of their dues as specified in the membership application process.
4.3 The membership fee shall be as set from time to time by the members at a General Meeting.
4.4 If you do not renew your membership and pay the annual dues for two consecutive years, you will no longer be a member.

5. Membership Benefits:
5.1 As a member of Prosper Australia Incorporated, you are entitled to a vote and have the following rights:
i. To be notified of annual general meetings 14 days prior, and of any special general meetings or resolutions 21 days prior to the meeting.
iii. To submit items of business for consideration at a general meeting
iii. To attend and be heard at general meetings.
iv. To request inspection of the accounts, books, securities and any other relevant documents of Prosper Australia.
v. To nominate for election to the Executive Committee after two years of consecutive membership, or at the discretion of the Executive Committee.
5.2 In addition to your constitutional rights, members are entitled to certain benefits that are described in the membership section of our website e.g. a subscription to Progress magazine. We reserve the right to modify or change these benefits offered to members at any time without prior notice.

6. Membership Termination:
6.1 Where a member’s behaviour is considered to be inimical to the rules or wellbeing of Prosper Australia, the Executive Committee can pass a revolution to suspend your membership for a specified period or terminate your membership of Prosper Australia, provided that:
i. The Secretary has provided you with written notice of the resolution and provided reasons for termination
ii. Given you the opportunity to address the Executive Committee and appeal the termination of your membership.
6.2 You may voluntarily terminate your membership at any time by providing written notice to Prosper Australia. Your membership dues will not be refunded.

7. Code of Conduct:
7.1 As a member of Prosper Australia, you agree to conduct yourself in a respectful and professional manner, both within the organisation and in your interactions with others.
7.2 You must adhere to our policies, guidelines, and principles, and not engage in any activities that may harm the reputation of Prosper Australia. In particular, you acknowledge and agree to adhere to our Advocacy Policy, which prevents members from making public representations on behalf of Prosper Australia without prior permission from the Executive Committee.

8. Data Privacy:
8.1 We collect and process personal information in accordance with our Privacy Policy. By becoming a member, you consent to our use of your data in accordance with this policy.

9. Intellectual Property:
9.1 You acknowledge and agree that all intellectual property, including trademarks, logos, and content, associated with Prosper Australia, are the property of Prosper Australia.
9.2 You may not use, reproduce, or distribute Prosper Australia’s intellectual property without prior written consent.

10. Limitation of Liability:
10.1 Prosper Australia is not liable for any direct or indirect damages, including but not limited to, loss of data, loss of revenue, or loss of reputation, resulting from your membership or use of our services.

11. Amendment of Terms:
11.1 Alterations to the terms of membership constitute an alteration to the Constitution. Any member may seek to amend the terms of membership in accordance with the rules and processes laid out in the constitution.

By becoming a member of Prosper Australia, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. Your membership is contingent upon your compliance with these Terms.
